Terms of Service

1. Entity Structure and Contracting

TalentHub Partners K.K. (Japan): Registered Tax Number T3010001225187. Licensed under the Ministry of Health, Labour and Welfare (License No. 13-ユ-318925).

TalentHub Holdings Limited (New Zealand): Registered NZBN 9429048753357. Owns and operates the global website and proprietary platform logic. Our infrastructure is powered by Google Cloud Platform (GCP), utilizing regional data centers to maintain data residency within the user’s local jurisdiction where legally required or commercially agreed.

2. Strategic Partner Network

To provide optimal solutions, we may involve trusted, specialized partner companies. Where we believe it is in your best interests, we may introduce you to or collaborate with these partners.

Note: Contractual arrangements for specific services may be formed directly between you and a partner agency. TalentHub is not a party to those third-party agreements unless expressly stated in writing.

3. Use of Proprietary AI Tools

Human-in-the-Loop: All AI tools operate under mandatory human supervision and do not replace professional judgment or independently make hiring decisions.

Institutional-Grade Security: AI interactions and data processing occur within a managed, enterprise-tier perimeter. We utilize the Google Workspace Business security framework, ensuring that your data is protected by the same multi-layered encryption and threat-protection standards used by global enterprise organizations.

4. Permitted and Prohibited Use

You may use the Services only for lawful recruitment and market intelligence purposes. Prohibited activities include:

• Reverse Engineering: Attempting to extract platform logic, proprietary workflows, or AI prompts.
• Data Scraping: Using automated tools to bulk extract candidate or client data.
• AI Training: Using TalentHub content to train external or third-party Large Language Models (LLMs).
• Circumvention: Using the Services to bypass agreed-upon recruitment fee structures.

5. Platform Access and Confidentiality

Access to specific dashboards or "Pitch Pages" is limited to the scope of a specific mandate. Credentials must remain confidential. We reserve the right to revoke access if we detect a risk to data security or a breach of these Terms.

6. Fees and Payments

Executive Search and RPO engagements are governed by separate, signed fee agreements. Candidate Protection: In accordance with international ethical standards, no fees are ever charged to candidates for placement services.

7. Intellectual Property

All intellectual property—including "Search DNA" methodologies, digital Pitch Page structures, and proprietary AI configurations—remains the exclusive property of TalentHub or its licensors.

8. Warranties and Limitation of Liability

Services are provided on an "as available" basis. While our Services utilize enterprise-grade infrastructure (GCP/Google Workspace Business) adhering to global compliance standards (including SOC 2/3 and ISO 27001), we do not guarantee error-free AI outputs. Our total liability is limited to the fees paid by you in the 12 months preceding a claim.

9. Governing Law

These Terms are governed by the laws of New Zealand. Regarding local delivery and licensing in Japan, applicable Japanese recruitment and employment regulations take precedence.
